Supplier Agreement

The Agreement is entered between

Retailer, Jayoninc Plt, a company registered in Malaysia (LLP0022279-LGN) operating an internet commerce platform for worldwide customers ("Customers" or "Customer") under the domain https://shop.laiguofang.com/ ("Sites");

and

Supplier, wishing to join or remain on the Retailer’s Supplier Program by listing its products and/or services for sale on Sites.

Supplier’s Role. Supplier will provide fulfilment for all sales obtained by Retailer in regards to any products or services supplied by Supplier. Supplier is not involved in the actual transaction between Retailer and Customers. Supplier is not the agent of either Retailer or Customers.

Supplier’s Rights. Supplier retains all rights to all images of products provided and retains the right to prohibit the use of any and all images provided. Retailer may not use any of the images for any other purpose other than displaying to gain sales or increase awareness of Supplier's products and services.

Items for Sale. Supplier will provide Retailer with a detailed listing of all Items provided by Supplier along with, but not limited to, the cost for each Item, shipping amounts (when applicable) and any and all other charges which may be due in affiliation with each Item. The parties shall jointly agree on the Price the Retailer shall charge to the Customer for each Item. Retailer retains full rights in determining the listing of any products or services on Sites.

Order Fulfilment. Retailer shall inform Supplier of any order received as soon as practicable. Supplier shall provide fulfilment according to information supplied by Retailer, and, when applicable, ship the Item to the Customer as soon as practicable. Retailer shall be entitled to implement any measures it deems fit to certify fulfilment of the orders.

Payment to Supplier. For all certified fulfilment, Retailer shall remit the amount collected from Customer, adjusted for any Fees and Credits that Retailer may charge, within 14 days of certified fulfilment.

Fees. Unless otherwise agreed, Retailer shall charge Supplier fees on Items transacted based on Price of each Item, on the following schedule:

Affiliate Commission. Supplier may earn commission on transactions resulting from referral by the Supplier, identified through unique affiliate ID and web links provided by the Retailer. Affiliate commission shall range from 5% to 10% of the Price, as listed from time-to-time on Affiliate Center operated by Retailer.

Responsibility. Retailer is in no way responsible or liable for the success of the Supplier’s products and services. Further, Supplier has independently evaluated the desirability of participating in Retailer’s Supplier Program and is not relying on any representation, guarantee or statement other than set forth in this Agreement.

Right to Modify. Retailer retains the right to modify this Agreement at any time. Changes will not be retroactive. If any modification is unacceptable to Supplier, the recourse will be termination of Supplier’s participation in the Supplier Program by providing fourteen (14) days' written notice to Retailer. Continued participation will constitute acceptance of the modifications.

Cancellation. If Retailer or Supplier is not satisfied with the program defined by this Agreement, and the results thereof, either party may terminate this agreement by providing fourteen (14) days' written notice to the other aforementioned party.

Severability. If any provisions or sections of this Agreement shall be deemed unlawful, void or for any reason unenforceable, then that provision or section shall be deemed severed from these terms and conditions and shall not affect the validity and enforceability of any remaining provisions.
